Are you trying to upgrade your version of Ubuntu.

Here is what I do:

A)  Boot of live cd.  
B)  Go to xterm
C)  mkdir /Old-Version-Number
D)  mv /* /Old-Version-Number
E)  terminate Xterm
F)  Fresh install.

Make sure you do not format the hard drive!!  

The only downside to this is that you can accumulate many old
distributions like I have.
