You definitely have the file
/lib/modules/2.4.0/net/rtl8139.o, and you have done "depmod -a"
to update the module dependencies?

Incidentally, I'm using the 530+ under kernel 2.2. I'd be
surprised if the RTL8139 support was broken in 2.4, but
I guess it's possible.
